Terms of Use

1. Agreement to These Terms

These Terms of Use (the "Terms") form a binding agreement between you and Vale Tech Inc. ("we," "our," or "us"), located in Prince George, British Columbia, Canada, governing your use of the "Win The Day" mobile and web application (the "App"). By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

2. Eligibility and Your Account

You must be at least 13 years old to use the App. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Provide accurate information when you register, and keep it up to date.

You may delete your account at any time from within the App. Deleting your account removes your data in accordance with our Privacy Policy.

3. Licence

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for your own personal, non-commercial purposes, on devices you own or control, in accordance with these Terms and any usage rules of the app store you obtained the App from. We reserve all rights not expressly granted to you.

4. Premium Plans, Billing, and Renewal

The core five-task daily list is free. Premium unlocks AI assistant access, cloud backup and realtime sync, and advanced analytics. Premium is offered as auto-renewing subscriptions and as one-time lifetime purchases:

Current prices are shown in the App before you purchase, in your local currency, as supplied by the App Store or Google Play. Payment is charged to your app store account at confirmation of purchase.

Subscriptions renew automatically. Unless auto-renew is turned off at least 24 hours before the end of the current period, your subscription renews automatically and your account is charged the renewal price within 24 hours before the period ends. You can manage or cancel a subscription at any time in your App Store or Google Play account settings. Cancelling stops future renewals; it does not refund the period already in progress.

Where a free trial is offered, any unused portion of the trial is forfeited if you purchase a subscription during the trial period. Unless cancelled before the trial ends, the trial converts automatically into a paid subscription at the price shown in the App.

5. Refunds

Purchases made through the App Store or Google Play are handled by Apple or Google under their respective refund policies. We cannot issue refunds for those purchases directly. Contact the relevant store to request a refund. If you purchased directly from us on the web, contact valetechinc@gmail.com.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the App, except where that restriction is prohibited by law.
• Resell, sublicense, rent, or otherwise commercially exploit the App or your access to it.
• Interfere with, overload, or attempt to gain unauthorized access to the App, our servers, or another user's account.
• Use the App to store or transmit unlawful content, or to violate the rights of others.

7. Your Content

Your tasks, notes, and history remain yours. You retain all rights to the content you create in the App. You grant us only the limited permission needed to store, back up, sync, and display that content to you in order to operate the service, as described in our Privacy Policy. We do not sell your content and we maintain strict internal policies against reading it.

8. AI Assistant Features

Premium plans allow you to connect a third-party AI assistant so it can read and update your daily task list on your behalf. You control whether to connect an assistant and may disconnect it at any time. AI output can be inaccurate; you are responsible for reviewing any changes an assistant makes to your tasks. Your use of a third-party assistant is also governed by that provider's own terms.

9. Changes to the App

We may add, change, or remove features over time, and we may suspend or discontinue the App or any plan. If we discontinue a paid plan you are actively subscribed to, we will provide notice and, where required, a prorated refund for the unused portion of the current billing period.

10. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that data will never be lost. The App is a productivity tool; it is not medical, psychological, financial, or professional advice.

11. Limitation of Liability

To the maximum extent permitted by law, Vale Tech Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of your use of the App. Our total liability for any claim relating to the App is limited to the greater of the amount you paid us in the twelve months before the claim, or CAD $100. Some jurisdictions do not allow these limitations, in which case they apply to the fullest extent permitted.

12. Apple App Store Terms

If you obtained the App from the Apple App Store, the following additional terms apply:

• These Terms are between you and Vale Tech Inc. only, not with Apple. Apple is not responsible for the App or its content.
• Apple has no obligation to provide maintenance or support for the App.
• If the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Apple is not responsible for addressing any claims by you or a third party relating to the App, including product liability, legal or regulatory non-compliance, and consumer protection claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

Your use of the App is also subject to Apple's Licensed Application End User License Agreement. Where these Terms and that agreement conflict, these Terms govern to the extent permitted.

13. Termination

You may stop using the App and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms. Sections that by their nature should survive termination, including sections 7, 10, 11, and 14, will survive.

14. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it, without regard to conflict-of-laws rules. The courts of British Columbia have exclusive jurisdiction, except where mandatory consumer protection law in your place of residence provides otherwise.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Material changes will be communicated in the App or by email. Continuing to use the App after changes take effect means you accept the revised Terms.
